1. Agreement to Terms

By accessing or using Evnx ("Service," "Platform," "we," "us," or "our"), you agree to be bound by these Terms of Use ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Evnx is a multi-vendor marketplace platform that enables merchants ("Sellers") to create online stores, list products, process orders, and conduct e-commerce activities. Our Service includes store management tools, payment processing via Paystack, order management, and related marketplace features.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our Service. By using Evnx, you represent and warrant that you meet these requirements and comply with all applicable laws in Ghana.

4. Account Registration and Security

4.1 Account Creation

  • You must provide accurate, current, and complete information during registration
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must notify us immediately of any unauthorized use of your account

4.2 Account Responsibility

  • You are solely responsible for all activities that occur under your account
  • We reserve the right to suspend or terminate accounts that violate these Terms

5. Seller Obligations and Responsibilities

5.1 Legal Compliance

  • You must comply with all applicable Ghanaian laws, regulations, and industry standards
  • You are responsible for obtaining all necessary licenses and permits for your business
  • You must comply with Ghana Revenue Authority tax obligations
  • You must comply with the Data Protection Act, 2012 (Act 843)
  • You must comply with consumer protection laws and banking regulations

5.2 Product Standards

  • You must provide accurate descriptions and images of your products
  • You must maintain adequate stock levels for listed products
  • You must honor all sales, returns, and refund policies you establish
  • You must not sell illegal, harmful, or prohibited items

5.3 Customer Service

  • You are responsible for providing customer support to your customers
  • You must handle customer disputes, returns, and refunds professionally
  • You must respond to customer inquiries in a timely manner

6. Prohibited Uses and Content

You may not use our Service to:

  • Sell illegal products or services
  • Engage in fraudulent or deceptive practices
  • Violate intellectual property rights
  • Sell products that are harmful, dangerous, or restricted
  • Engage in money laundering or other financial crimes
  • Spam or send unsolicited communications
  • Impersonate others or provide false information
  • Manipulate reviews or ratings

7. Payment Processing and Financial Terms

7.1 Payment Processing

  • We integrate with Paystack for secure payment processing
  • Cash on Delivery (COD) is available for sellers without payment setup
  • We may hold, delay, or refuse payments suspected of fraud

7.2 Platform Fees

  • Platform commission: 5% of order subtotal
  • Platform tax: 2% of order subtotal
  • COD service fee: ₵3 per COD order
  • Payment processing fees apply as per Paystack rates

7.3 Taxes

  • You are responsible for determining and paying all applicable taxes to GRA
  • You must comply with VAT registration requirements if applicable
  • You must maintain proper records for tax compliance

8. Intellectual Property Rights

8.1 Our Rights

Evnx and all related marks, logos, and designs are our intellectual property. The Service and underlying technology are protected by copyright, trademark, and other laws.

8.2 Your Rights

You retain ownership of your content, products, and customer data. You grant us a limited license to use your content to provide the Service.

9. Service Availability and Modifications

  • We strive to maintain high service uptime but do not guarantee uninterrupted service
  • We may perform maintenance that temporarily affects service availability
  • We may modify, update, or discontinue features with reasonable notice
  • We reserve the right to impose usage limits or restrictions

10. Termination

10.1 Termination by You

You may terminate your account at any time. Upon termination, you remain responsible for any outstanding obligations.

10.2 Termination by Us

We may suspend or terminate your account for violations of these Terms or for business reasons with reasonable notice.

11. Disclaimers and Limitations of Liability

11.1 Service Disclaimers

The Service is provided "as is" without warranties of any kind. We disclaim all warranties, express or implied, including merchantability and fitness for purpose.

11.2 Limitation of Liability

Our liability is limited to the amount you paid for the Service in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the Republic of Ghana. Any disputes will be resolved in the courts of Ghana with competent jurisdiction.

12.2 Alternative Dispute Resolution

Before litigation, parties agree to attempt mediation. If mediation fails, disputes may be resolved through arbitration under Ghanaian law.

13. General Provisions

  • These Terms constitute the entire agreement between you and us
  • If any provision is found invalid, the remaining provisions remain in effect
  • Our failure to enforce any provision does not constitute a waiver
  • We may update these Terms with reasonable notice
  • Continued use after changes constitutes acceptance
